1. Scope
These Terms & Conditions apply to all services and contractual relationships between Rennerius e.U. (“Agency”) and its clients.
Conflicting terms and conditions of the client shall not apply unless expressly agreed in writing.

2. Services
The Agency provides services in the fields of branding, visual identity, logo creation, brand books, social media management, content creation, copywriting, marketing strategy, and website planning.
The scope of services shall be defined individually through offers, agreements, or written communication.

3. Cooperation
The client shall provide all information, materials, and approvals required for project execution in a complete and timely manner.
Delays caused by missing feedback, materials, or approvals may affect project timelines.

4. Social Media Platforms
The Agency expressly points out that providers of social media platforms reserve the right to remove, restrict, or reject content and advertisements at their own discretion.
The Agency has no influence over platform algorithms, account restrictions, policy changes, outages, or removal of content by third-party providers.
The client acknowledges these platform conditions by commissioning social media services.

5. Concepts and Creative Work
All concepts, drafts, strategies, presentations, designs, and creative materials created by the Agency remain the intellectual property of Rennerius e.U. unless otherwise agreed in writing.Usage rights transfer to the client only after full payment has been received.
Unused concepts, drafts, source files, and editable files remain the property of the Agency.

6. Website Services
The Agency provides website planning, visual direction, structure guidance, and strategic platform recommendations.
Custom coding or software development is not included unless expressly agreed otherwise.
Third-party platforms, hosting providers, plugins, and software providers remain subject to their own terms and conditions.

7. External Services
The Agency is entitled to involve third-party providers or external partners where necessary for project execution.
The Agency shall not be liable for services provided directly by third parties.

8. Deadlines
Delivery dates and project timelines are non-binding unless expressly agreed otherwise in writing.In cases of force majeure or circumstances beyond the Agency’s control, deadlines may be extended accordingly.

9. Fees and Payment
Invoices are payable without deduction within the payment period stated on the invoice.
In the event of delayed payment, the Agency reserves the right to suspend ongoing work and services until outstanding amounts have been settled.

10. Liability
The Agency shall only be liable for damages caused intentionally or through gross negligence.
Liability for indirect damages, consequential damages, loss of profit, data loss, or business interruption is excluded to the extent permitted by law.

11. Confidentiality
Both parties undertake to treat confidential information obtained during cooperation as strictly confidential.

12. Data Protection
Personal data is processed in accordance with applicable data protection regulations and the Agency’s Privacy Policy.

13. Applicable Law and Jurisdiction
Austrian law shall apply exclusively.
The competent court at the registered business location of Rennerius e.U. shall have jurisdiction over all disputes arising from the contractual relationship.

14. Severability Clause
Should individual provisions of these Terms & Conditions become invalid, the validity of the remaining provisions shall remain unaffected.
